Introduction

Compliance Kart Pvt Ltd ("we," "us," "our") operates a B2B voluntary marketplace Envr (the "Platform") for trading carbon credits and I-RECs between businesses. These Terms and Conditions ("Terms") govern your access to and use of the Platform. By registering, accessing, or using the Platform, you ("you," "User") agree to be bound by these Terms. If you do not agree, you must not use the Platform.

1. Eligibility

• You must be a registered business or authorized representative of a business to use the Platform.
• You must be at least 18 years old and have the legal capacity to enter into contracts.
• You must provide accurate, complete, and up-to-date business and personal information during registration.

2. Account Registration and Security

• To use the Platform, you must create an account, providing accurate business and personal details.
• You are responsible for maintaining the confidentiality of your account credentials.
• We may require verification documents to confirm your identity and business legitimacy.

3. Platform Use

• Use the Platform only for lawful trading of carbon credits and I-RECs in compliance with laws and standards.
• Do not use the Platform for fraudulent, illegal, or unauthorized activities.
• You may not misrepresent identity, interfere with functionality, or scrape the platform without consent.

4. Transactions

• The Platform facilitates trades but does not take ownership of credits.
• Ensure transaction details are accurate.
• You agree to pay applicable fees and verify credits through recognized registries.
• We are not liable for disputes or invalid credits.

5. Intellectual Property

• The Platform's design and content are owned by Compliance Kart Pvt Ltd or its licensors.
• You may not copy or distribute the Platform without written consent.

6. Data and Privacy

• Use of the Platform is governed by our Privacy Policy.
• By using the Platform, you consent to data collection and use as described therein.

7. Limitation of Liability

• The Platform is provided "as is" without warranties.
• We are not liable for losses, interruptions, or indirect damages.
• Our liability is limited to the fees paid by you in the last 12 months.

8. Indemnification

• You agree to indemnify Compliance Kart Pvt Ltd and affiliates for any claims due to your actions.

9. Termination

• We may suspend or terminate your account for breach of terms or at our discretion.
• Outstanding fees remain payable after termination.

10. Governing Law and Dispute Resolution

• Terms are governed by Indian law.
• Disputes will be resolved via arbitration in Gautam Budh Nagar, India.

11. Changes to the Terms

• We may update these Terms and notify you via the Platform or email.
• Continued use means acceptance of updated Terms.
